These Terms of Service ("Terms") govern your use of ReelSoup, an AI-powered service that transforms restaurant photos into immersive short-form video reels ("Service"), operated by ReelSoup Oy, a limited liability company registered in Finland ("ReelSoup Oy," "ReelSoup," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By accessing or using our Service, you confirm that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree to these Terms, you must refrain from using our Service.

We reserve the right to change or modify these Terms at any time. Your continued use of our Service after any modifications constitutes your acceptance of the new Terms.

3. Use of Service

You are solely responsible for your use of our Service and any content you create, upload, or share through our Service. You agree to use our Service only for lawful purposes and in compliance with all applicable laws and regulations, including EU regulations. Unauthorized or improper use of the Service is prohibited.

4. User Content and Media Ownership

You are solely responsible for any content, including images and restaurant information ("User Content"), that you upload or otherwise submit to ReelSoup. You represent and warrant that you own all necessary rights or have obtained all requisite permissions to use and share such User Content.

Media Ownership and Rights:

• Your Rights: You retain full ownership and all rights to your images and media.
• License to ReelSoup: By uploading your media, you grant ReelSoup a limited, non-exclusive license solely for the purpose of transforming your content into video reels and delivering our Service to you.
• Use of Your Media: Under no circumstances will ReelSoup use or market any media that it does not have the rights to, nor will we use your media for promotional purposes without obtaining your explicit permission.

Music and Audio:

ReelSoup may provide licensed music for use in your video reels. If you upload your own audio files, you acknowledge that:

• You are solely responsible for ensuring you have all necessary rights, licenses, and permissions to use any music or audio you upload.
• ReelSoup is not liable for any copyright violations resulting from user-uploaded music.
• You agree to indemnify and hold harmless ReelSoup Oy from any claims related to your uploaded audio.

5. Prohibited Conduct

When using our Service, you agree not to engage in any activities that:

• Infringe on any third party's intellectual property or proprietary rights.
• Involve the copying, distributing, or public disclosure of any part of our Service without our express permission.
• Harass, abuse, or harm another person or entity.
• Interfere with or disrupt the proper functioning of our Service.
• Attempt to bypass or disable any security or access control measures implemented on our Service.

6. Payment and Billing

Our Service may operate on a subscription basis or pay-as-you-go credit system. All payments are processed through secure payment providers in compliance with EU regulations.

Subscription Model:

• Subscriptions are billed on a recurring basis as specified at the time of purchase.
• Your subscription will automatically renew unless you cancel before the end of the current billing period.
• You are responsible for all charges incurred under your account, including applicable taxes (VAT).

7. Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have the right to withdraw from a contract within 14 days without giving any reason. However, by using our Service to create video content, you acknowledge that the service has been fully performed and you therefore waive your right of withdrawal once the video has been generated.

8. Refund Policy

Refund requests are handled in accordance with EU consumer protection laws. If you are not satisfied with our Service, please contact our support team to discuss your options. Refunds may be provided on a case-by-case basis.

9. Termination

We reserve the right to suspend or terminate your access to our Service for violation of these Terms or for any other reason at our discretion, with reasonable notice where possible. Upon termination, all rights granted to you under these Terms will immediately cease.

10. Disclaimer of Warranties

Our Service is provided on an "as is" and "as available" basis. While we strive to provide a high-quality service, ReelSoup Oy makes no warranties, either express or implied, regarding the Service's uninterrupted availability or fitness for a particular purpose, to the extent permitted by applicable law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, ReelSoup Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of or inability to use our Service. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Finland and applicable European Union regulations.

Any disputes arising under or in connection with these Terms shall be resolved in the courts of Finland. If you are a consumer in the EU, you may also bring proceedings in the courts of your country of residence. Additionally, you may use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Third-Party Services

Our Service may integrate with third-party platforms such as social media services. By using our Service, you agree to comply with the terms and conditions of any third-party services with which we integrate. ReelSoup is not responsible for the practices of third-party services.
